TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Quiller.ai platform (the "Platform") and its associated services, which are operated by Grassroots Analytics, Inc. d/b/a Quiller.ai (referred to as "Quiller," "we," "our," or "us"). By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these terms, you may not use the Platform.

1. ACCESS TO THE PLATFORM

1.1 Eligibility

The Platform is available only to individuals and organizations affiliated with or supporting Democratic or progressive political organizations, causes, or candidates, as determined by Quiller in its sole discretion. By accessing the Platform, you represent and warrant that you are a Democrat or affiliated with a progressive organization.

1.2 Account Registration

To use the Platform, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

1.3 Identity Verification

You agree that Quiller may request additional information at any time to verify your identity, legal name, or eligibility to access the Platform. You agree to provide complete, accurate, and truthful information in response to any such request and to cooperate with any verification process reasonably required by Quiller. Failure to timely provide such information, or providing false or misleading information, may result in suspension or termination of your account and access to the Platform. Quiller may condition continued access to the Platform on successful completion of identity or eligibility verification.

2. USE OF THE PLATFORM

2.1 License

Subject to your compliance with these Terms, Quiller grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose.

2.2 User Responsibilities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You are solely responsible for the content you create using the Platform and for ensuring that it complies with applicable laws and regulations.

2.3 Prohibited Activities

You agree not to and not to permit any third party to:

 

A. Use the Platform in any manner that could disable, disrupt, overburden, damage, or impair the Platform or interfere with any other party’s use of the Platform;

B. Engage in any fraudulent, unlawful, abusive, or harmful activity;

C. Use any unauthorized means to access the Platform or to collect, scrape, harvest, extract, copy, or monitor data or information from the Platform;

D. Attempt to gain unauthorized access to any part of the Platform or its related systems, networks, APIs, or infrastructure;

E. Reverse engineer, decompile, disassemble, copy, replicate, or otherwise attempt to discover or derive the Platform’s underlying models, prompts, workflows, architecture,

systems, configurations, or other proprietary technology; or

F. Use the Platform or its outputs to develop, train, support, or improve any competing product or service.

 

3. INTELLECTUAL PROPERTY

3.1 Ownership:

Quiller retains all rights, title, and interest in and to the Platform, including all intellectual property rights. You acknowledge that the Platform contains proprietary information and materials that are protected by applicable intellectual property laws.

3.2 User Content

By using the Platform, you retain ownership and control over any data or content you add to the Platform. You grant Quiller a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display the content you create using the Platform solely for the purpose of improving the performance and functionality of the Platform. Quiller will not access, use, or disclose your data or content to any third party without your explicit permission, unless required by law or to enforce these Terms. We will take reasonable measures to ensure the security and confidentiality of your data, but please be aware that no method of electronic storage or transmission is completely secure. You acknowledge and agree that Quiller may collect and use anonymized or aggregated data derived from your use of the Platform, provided that such data does not personally identify you. This anonymized or aggregated data may be used for research, analytics, and improving the functionality and performance of the Platform. You have the right to delete or remove your data from the Platform at any time, subject to any legal obligations or technical limitations. Upon termination of your account, Quiller will delete or anonymize your data, except as may be required by law or as necessary for the operation and maintenance of backups, legal compliance, or dispute resolution.

4. PRIVACY POLICY​

Please refer to our Privacy Policy for information on how we collect, use, and disclose personal information.

5. DISCLAIMER OF WARRANTIES

The Platform is provided on an "as-is" and "as available" basis. Quiller makes no warranties or representations of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy. Quiller does not guarantee any specific results, including fundraising performance or outcomes, from use of the Platform.

6. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Quiller shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to your use of the Platform. To the fullest extent permitted by applicable law, Quiller’s total aggregate liability arising out of or relating to your use of the Platform shall not exceed the total amount of fees paid by you to Quiller during the twelve (12) months immediately preceding the event giving rise to the claim.

7. TERMINATION

Quiller may, in its sole discretion, terminate or suspend your access to the Platform, without prior notice or liability, for any reason whatsoever, including without limitation violation of these Terms or failure to meet eligibility or verification requirements.

8. DISPUTE RESOLUTION

In the event of any claim, controversy or alleged dispute between you and Quiller, its members or affiliates ("Dispute"), you hereby agree to attempt in good faith to amicably resolve any Dispute at least 30 days before instituting any legal proceedings.

9. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the District of Columbia. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts located in the District of Columbia.

 

10. INDEMNIFICATION

 

10.1 Indemnification

You shall indemnify, defend, and hold harmless Quiller and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Platform in violation of the Terms; (b) any content or data submitted, generated, or distributed by you using the Platform; or (c) your violation of applicable laws or third-party rights.

 

10.2 Quiller Indemnification

Quiller shall indemnify, defend, and hold you harmless from and against any and all third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) alleging that the Platform, as provided by Quiller and used in accordance with these Terms, infringes or misappropriates such third party’s intellectual property rights.

 

10.3 Indemnification Procedures

The party seeking indemnification will promptly notify the other party of any claim, allow that party to control the defense and settlement, and reasonably cooperate in the defense. The indemnifying party may not settle any claim in a manner that imposes liability or obligations on the other party without that party’s prior written consent, not to be unreasonably withheld.

 

11. CHANGES TO THE TERMS

Quiller may modify these Terms from time to time. For material changes, Quiller will use reasonable efforts to provide notice (e.g., via email or within the Platform). Changes will not materially reduce your rights under an active paid subscription without your consent.
